United Way Worldwide (UWW) Office of the General Counsel seeks an experienced attorney to serve as Associate General Counsel. A self-starter and curiosity-driven individual with an appetite to learn and take on new projects, the Associate General Counsel (AGC) (Federal Grants and Contracts, Regulatory Compliance and Business Transactions) provides strategic legal, regulatory and business advice and legal services for the benefit of UWW in a manner consistent with UWW’s mission, values and strategic objectives. The AGC conducts highly complex and important work and projects critical to the organization.

The AGC is responsible for managing specific regulatory and compliance functions, providing expert knowledge in government-funded awards and contracts, supporting investigations and claims, and assisting with the legal review of other business transactions. The AGC interacts with the legal team and peer groups daily, supporting inter-team cooperation and standardization of processes and procedures. The AGC ensures service levels are met, and work product is consistently of high quality and is expected to collaborate throughout the organization and works closely with UWW’s Government Partnerships, Global Network Advancement Team, and Finance departments.

Essential Functions 

  • Federal Contracts and Grants, Awards and Regulations
    • Provides strong subject matter expertise on federal and state regulations and procedures (e.g. OMB Uniform Guidance, FAR, agency specific terms) governing UWW’s government-funded grants and contracts, awards, agreements, and other funding and collaboration agreements
    • Drafting, reviewing and developing UWW’s government-funded grants and contracts, templates and legal compliance functions related to government-funded grants and contracts
    • Provides strategic input and advice for negotiating to ensure contract and grant requirements are adequately defined and documented, including government terms and conditions
    • Serving as liaison to GNAT and Government Partnership teams to negotiate grants and/or cooperative agreements with potential government partners and/or coalitions 
    • Manages regulatory investigations, audits, internal investigations and collaborates with outside counsel and other experts as needed
    • Develops and provides training, education and outreach in areas of legal expertise in coordination with other subject matter experts
  • Policy and Regulatory Compliance
    • Assist other UWW departments with developing ongoing government-funded grants and contracts compliance measures and programs, including conflicts of interest and export controls (EAR) 
    • Monitors and advises on applicable statutory and regulatory developments for relevant compliance
    • Review and assist in the development of policies and procedures in collaboration with other UWW departments to fill any gaps required to comply with the FAR, CFR and other applicable federal regulations
    • Provides guidance, scalable processes, robust program management and employee training

Business Transactions

  • Assist with drafting and reviewing  contracts, agreements, grants, and memoranda of understanding with third parties, including affiliates, private companies, and individuals (including contracts for the purchase of goods and services, licensing and branding, real estate transactions, affiliated corporation agreements, and Trust and Estate gifts, employment agreements, marketing agreements, event agreements, and NDA’s)

  • Assist in drafting and reviewing  other business transactions 
  • Influences or gain acceptance from others on matters involving multiple functional areas and departments in order to complete work
  • Works with other attorneys and professionals on the legal team to collaborate, achieve common goals and manage workload for the success of the team
  • Proactive, professional and effective communicator (oral and written) on all levels
  • Identifies and communicates risks for projects and ensures team analyzes and addresses risks in their work
  • Accountable for resources, schedules and goals, developing and implementing controls to manage potential issues
  • Solves problems and/or creates new procedures and/or processes as part of the problem-solving process, with a focus on efficiency
  • Perform other duties and responsibilities as required, assigned, or requested

Required Education and Experience

  • J.D. and admission/license to practice law in any State (of the United States) in good standing with the ability to register as in-house        counsel with the Virginia State Bar, if not already admitted to the Virginia State Bar
  • 4 to 6  years of relevant experience
  • Experience handling complex transactions and matters involving federal regulations including FAR/CFR, conflicts of interest, export controls (EAR), and federal government agency

Preferred Education and Experience

  • Federal funding and contracting experience, In-house experience, and tax-exempt experience 
  • Contract negotiation: Drafting, reviewing, and negotiating contracts, such as customer agreements, vendor contracts, and employment contracts 
  • Experience with Office 365, SharePoint, Oracle, DocuSign, Conflict of Interest Disclosure Platforms
  • Excellent proficiency at organizing and prioritizing work; task focused; works on own initiative to get things done; ability to work under pressure and manage multiple stakeholders
  • Takes calculated risks, based on learning and experience, to achieve organizational goals and longer-term results

  • Regulatory compliance: Advising clients on state and local government procurement regulations, statutes, and policies 
  • Bid preparation: Advising and assisting an organization with bid preparation and proposal submission 
  • Contract administration: Advising clients on contract administration and enforcement issues 
  • Procurement documents: Drafting, revising, and reviewing procurement documents, such as Requests for Proposals (RFPs) 
  • Legal strategy: Developing and leading corporate legal strategy to protect and promote an organization's interests 
  • Risk management: Implementing risk management techniques and offering proactive advice on potential legal issues 
  • Legal representation: Representing an organization in agency claims and investigations

SALARY STATEMENT

The budgeted lifespan salary range for this position is currently $165,000 to $185,000 per year.  Salary is determined by several factors including applicant’s knowledge, ­­­skills, experience, position, equity, and market.
